Lex Intell (hereinafter referred to as the “Website”) is operated by Silver Circle Tech Limited (hereinafter referred to as "us" "we" or "our"). The Terms and Conditions (hereinafter referred to as the “T&C”) applies to all Customers, Subscribers and Users (hereinafter collectively referred to as "your" "you" or "User").

The following T&C sets out an agreement between you and ‘Silver Circle Tech Limited’ which will govern your access and use of the Lex Intell Website (“Site”), the contents contained herein (“Contents”) and the services offered on the Website (“Services”). This T&Cs together with our Privacy Policy as set out in the the Site applies to your use of Lex Intell.

This Site and/or App is owned and operated by Silver Circle Tech Limited, a company incorporated under the Companies Act, 1994, (Registration Number:_ C-166714/2020).

The Site reserve the right to change, modify, add, or remove portions of these T&Cs at any time without any prior notification. Changes will be effective when posted on the Site with no other notice provided.

In this T&Cs (including any recitals, annexure, schedules or exhibits attached thereto) except where the context otherwise requires, the following words and expressions shall have the following meaning: -

“Subscriber” means a Customer whose registration, data analysis, verification is completed through ‘Lex Intell’ who upon which is a registered User.

“Person” means an individual or a company/firm or financial institution registered as per rule.

A statutory provision shall include such provision as is from time to time modified or re-enacted or consolidated so far as such modification or re- enactment or consolidation applies or is capable of applying to any transactions entered into hereunder.

Headings in this T&Cs are for convenience of reference only and shall not be used to construe or interpret the terms contained herein.

Words denoting the singular shall include the plural and vice versa and the word representing any gender shall be deemed to include all other genders.

The word 'includes' or 'including' shall be construed without limitation.

An 'amendment' includes a supplement, modification, notation, replacement or re- enactment and 'amended' is to be construed accordingly.

By using the Site, you agree and understand that:

For the purposes of effectuating the objective as specified under these T&Cs, you shall register yourself with ‘Lex Intell’ in accordance with the guidelines stated herein and as duly specified within the provision of law;

For the purposes of this T&C, “Identity Information” means any external, biological or physical information or any other information which singly or jointly can identify a person or a system, such asname, photograph, address, date of birth, mother’s name, father’s name, signature, national identity card, birth and death registration number, finger print, passport number, bank account number, driving license, e-TIN number, electronic or digital signature, username, credit or debit card number, voice print, retina image, iris image, DNA profile, security related question or any other identification which are available for advance technology. Any reference to personal information or personal data within this T&C shall mean references to Identify Information.

In order to use and/or access the Services you are required to agree to, comply with and be bound by the T&Cs. You will be deemed to have accepted these T&Cs by registering with the Site, from the date on which Lex Intell provides confirmation to you that your Account has been opened (“the Effective Date”).

If you do not agree to be bound by this T&Cs please do not access, register with or use this Site. Please check these T&Cs regularly for updates. Your continued use of the Site following the posting of changes to T&Cs of use constitutes your acceptance of those changes. If you intend to open an account with ‘Lex Intell’ in order to avail the Services on the App you must:

Create an account with ‘Lex Intell’ by providing your personal identity information including name, contact numbers, emergency contact numbers, date of birth, email, place of residence, chosen password, gender, NID, Religion, employment and such other information sought for.

Registration:

You agree to register with ‘Lex Intell’ as a Subscriber by undergoing the registration process stated in this T&Cs. When you apply for online registration, you will submit the required information for verification by ‘Lex Intell’ through the online process. This will be completed within the same working day, the date of your registration on the Site.

You hereby agree to receive the SMS alert posted by ‘Lex Intell’ when and where disbursed by the Site. And as a User, you will avail these services on your own will and there will be no financial obligation of “Lex Intell” in case of legal disputes. As a User you are obliged to notify ‘Lex Intell’ as to any change of your mobile phone number.

Your information may be used by Lex Intell to deliver, develop, and improve services, to which users have expressly subscribed, and to answer users' requests.

We may also use the provided information to inform you of offers, to process your loans, to provide you with our services or to conduct surveys.

You represent yourself and no third party. You are not authorized or permitted to use ‘Lex Intell’ to make requests for someone other than yourself. All the transactions carried will be solely by you from your personal bank/MFS (e.g. bKash, Nagad, Rocket) account.

You specifically agree not to access/use (or attempt to access/use) any part of the Site and/or Services through any form of automated means and shall ensure that you comply with, in addition to these T&Cs, instructions set out in relation to the access/use of any feature of the Site and/or Services.

You agree that you will not engage in any form of activity that interferes with or disrupts any part of the Site and/or Services (or the softwares which are connected to the Site and/or Services).

You agree that you will not reproduce, duplicate, copy, sell, trade or resell any part of the Site and/or Services and/or the content contained within for any purpose.

You, and any person or entity you allow to access/use the \ Site and/or Services through your internet access/access to the Site and/or Services, are not allowed to:

Copy, disclose, modify, reformat, display, distribute, license, transmit, sell, perform, publish, transfer, link to, reverse engineer or decompile (except to the extent expressly permitted by applicable law) or otherwise make available any part of the Site and/or Services except as set out in these T&Cs;

You are responsible for any misuse of the Site and/or Services even if it is by another person or entity using your access to the Site and/or Services.

The User hereby agrees and explicitly consents that ‘Lex Intell’ may disclose confidential information provided to it of the User to any third party who under the terms of this T&Cs have rights or any other Governmental Regulatory Body and law enforcing agency who needs to access such information in pursuance of any functions, duties and laws with regards to this T&Cs.

Users agree to indemnify and hold ‘Lex Intell’ harmless from and against any and all claims, action, liability, cost, loss, damage, endured by ‘Lex Intell’ by User's access in violation to the listed terms of service and also to the applicable laws, rules and regulations or agreements prevailing from time to time. Cost or expense also includes and not limited to reminder fees, attorney fees, notary fees, appraisal fees, legal fees, transportation fees, investigation cost etc.

‘Lex Intell’ and all related logos (collectively the "‘ Lex Intell’ trademarks") are trademarks or service marks of ‘Lex Intell’. Nothing on this site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of ‘Lex Intell’ trademarks displayed on this site, without our prior written permission in each instance. Usersr should not use, copy, display, distribute, modify or reproduce any of the trademarks found on the site unless in accordance with written authorization by us. ‘Lex Intell’ prohibits use of any of Lex Intell’s trademarks as part of a link to or from any site unless establishment of such a link is approved in writing by ‘Lex Intell’ in advance.

Any and all disputes or differences between Users and ‘Lex Intell’ the Company, arising out of or in connection with this T&Cs or the performance of obligations arising thereof shall, so far as it is possible, be settled first by negotiations between the parties amicably through consultation.

Any dispute, which could not be settled by the Users and ‘Lex Intell’ through amicable settlement, shall be finally settled by the court of law in Dhaka, Bangladesh having jurisdiction to grant the same.

No delay or failure by us shall constitute a breach or give rise to any claim for damages or loss including loss of anticipated profits if such delay or failure is caused by events beyond our control. Force majeure means being prevented, restricted, delayed or interfered with, due to circumstances beyond the reasonable control of ‘Lex Intell’, including but not limited to, Government legislations, fires, floods, explosions, epidemics, accidents, acts of God, wars, riots, strikes, lockouts, or other concerted acts of workmen, acts of Government and/or shortages of materials;
